1. Token Sale Overview

These Terms of Sale govern your purchase of Binova Tokens ("BNVA" or "Tokens") offered by Binova Token Foundation ("Company," "we," "our," or "us"). The Token sale is conducted on a first-come, first-served basis until the hard cap is reached or the sale period ends.

2. Eligibility Requirements

To purchase BNVA tokens, you must:

• Be at least 18 years of age (or legal age in your jurisdiction)
• Not be a resident or citizen of a restricted jurisdiction
• Complete any required KYC (Know Your Customer) verification
• Have a compatible cryptocurrency wallet
• Not be on any sanctions list

2.1 Restricted Jurisdictions

The Token sale is not available to residents of: United States, China, North Korea, Iran, Syria, Cuba, Crimea, and any other jurisdiction where cryptocurrency sales are prohibited by law.

3. Token Purchase Process

3.1 Accepted Currencies

We accept the following cryptocurrencies for token purchase:

• Ethereum (ETH)
• Bitcoin (BTC)
• USDT (ERC-20 and TRC-20)
• USDC

3.2 Minimum and Maximum Purchase

• Minimum purchase: $100 USD equivalent
• Maximum purchase: $100,000 USD equivalent per wallet (subject to tier)

4. Token Price and Distribution

The Token price is determined at the time of purchase based on the current sale phase. Tokens will be distributed to your registered wallet address according to the following schedule:

• 20% unlocked at Token Generation Event (TGE)
• 80% vested over 12 months (linear monthly release)

5. Refund Policy

All token purchases are final and non-refundable.Once your transaction is confirmed on the blockchain, you cannot cancel or receive a refund for your purchase.

In the event the Token sale does not reach the soft cap, funds will be returned to participants minus any applicable transaction fees within 30 days of the sale conclusion.

6. Risk Acknowledgment

By purchasing BNVA tokens, you acknowledge and accept:

• Cryptocurrency investments are highly speculative and volatile
• You may lose your entire investment
• Regulatory changes may affect the value or utility of tokens
• There is no guarantee of token listing on exchanges
• Technical risks including smart contract vulnerabilities
• Market conditions may adversely affect token value

7. Token Utility

BNVA tokens are utility tokens intended for use within the Binova ecosystem:

• Access to platform features and services
• Governance voting rights
• Staking rewards
• Transaction fee discounts

BNVA tokens are not securities, investments, or financial instruments.

8. Representations and Warranties

By purchasing tokens, you represent and warrant that:

• You have read and understood these Terms of Sale
• You are purchasing tokens for utility purposes, not investment
• You have sufficient knowledge of cryptocurrency and blockchain
• You are not using funds from illegal activities
• The information you provide is accurate and complete

9. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your purchase or use of BNVA tokens.

Our total liability shall not exceed the amount you paid for the tokens.

10. Intellectual Property

All intellectual property rights in the Binova platform, including trademarks, logos, and content, remain the property of the Company. Token purchase does not grant any intellectual property rights to purchasers.

11. Governing Law

These Terms of Sale shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes shall be resolved through binding arbitration in accordance with the rules of [Arbitration Body].
